2. Platform Services

Diadem & Co provides a coordinated access platform through which clients may be connected with independent licensed professionals across the following disciplines:

Diadem Strategies Incorporated’s role is limited to client intake, compatibility assessment, coordination, administration, and facilitation of introductions to independent professionals. Diadem & Co does not directly employ, supervise, or control the professional judgement of any independent licensed professional accessible through its platform.

The specific terms of any professional engagement, including scope of work, fees, and duties of care, will be set out in a separate client agreement or letter of engagement executed directly between you and the relevant independent licensed professional.

3. Complimentary Discovery Call

Diadem & Co offers a complimentary 30-minute discovery call to prospective clients. This call is provided at no charge and serves solely as an intake and compatibility assessment — it is designed to help us understand your general needs and determine which independent licensed professional(s) within our network may be suitable to assist you.

The complimentary discovery call does not constitute a formal professional engagement, does not create a client-advisor, client-accountant, client-lawyer, or client-insurer relationship, and does not give rise to any professional duty of care on the part of Diadem Strategies Incorporated or any independent professional. A formal professional relationship is only established upon execution of a separate engagement agreement directly between you and the relevant licensed professional.

No information shared during the discovery call should be relied upon as financial, legal, tax, or insurance advice.

4. No Direct Advisory Relationship with Diadem & Co

Diadem Strategies Incorporated is a coordination and referral platform and does not itself provide financial, legal, tax, or insurance advice. The information on our website, including blog posts, articles, and general content, is provided for general informational and educational purposes only. It does not constitute financial, legal, tax, or insurance advice and should not be relied upon as such.

Any professional advice you receive through introductions facilitated by our platform is provided solely by the independent licensed professional you engage — not by Diadem Strategies Incorporated. Diadem & Co accepts no liability for the professional advice, acts, omissions, or errors of any independent professional accessible through its platform.

5. Client Engagement

Diadem & Co’s role is limited to platform coordination and facilitation. A formal professional engagement for regulated services (financial planning, accounting, insurance, or legal) is only established when:

• A written engagement letter or service agreement has been signed between you and the relevant independent licensed professional
• The agreed fees or retainer have been received by that independent professional
• The independent professional has confirmed acceptance of the engagement in writing

Until these conditions are met, no professional duty of care, advisory relationship, solicitor-client relationship, or fiduciary relationship exists — whether with Diadem Strategies Incorporated or with any independent professional introduced through our platform.

Diadem & Co may execute a separate platform services agreement with you covering coordination, administration, and access fees. Such an agreement governs only the administrative services provided by Diadem Strategies Incorporated and does not create a regulated professional relationship.

6. Fees and Payment

Our fees are outlined in individual engagement letters and service agreements. All fees are in Canadian dollars unless otherwise stated. Payment terms will be specified in your engagement agreement. We reserve the right to suspend or terminate services for non-payment.

7. Confidentiality

We treat all client information with the strictest confidentiality. Information shared with us during consultations, engagements, or through our website will not be disclosed to third parties except as outlined in our Privacy Policy or as required by law.

8. AI-Assisted Services

We use AI-assisted tools including a virtual assistant (Diana) to handle initial inquiries, schedule appointments, and provide general information. By interacting with our AI assistant you acknowledge that:

• You are communicating with an automated system, not a human advisor
• Information provided by our AI assistant is general in nature and does not constitute professional advice
• Conversations may be recorded and reviewed by our team
• You consent to your information being stored in our secure CRM system

9. Call Recording

Calls to and from Diadem & Co may be recorded for quality assurance, training, and compliance purposes. You will be notified at the start of any recorded call. By continuing the call after notification, you consent to being recorded.
